By creating an account, enrolling in any program, purchasing any service, or otherwise accessing Women's Well, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Women's Well.

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

Women's Well offers integrative wellness services for women experiencing perimenopause and menopause, including but not limited to:

1. Mothering Through Menopause (MTM) Programs - Including The Sisterhood Circle, The Reset Retreat, and The Whole Package integration programs

2. Precision Medicine Programs - Functional medicine consultations and treatment plans delivered via telehealth or in-person

3. À La Carte Services - Individual craniosacral therapy, tarot guidance, and medical consultations

4. Digital Content - Blog posts, newsletters, e-books, videos, and educational resources

5. Community Access - Private Facebook groups and online discussion forums

4.1 General Wellness Services

THE INFORMATION, SERVICES, AND PROGRAMS OFFERED BY WOMEN'S WELL (EXCLUDING PRECISION MEDICINE PROGRAMS) ARE FOR EDUCATIONAL, SPIRITUAL, AND WELLNESS PURPOSES ONLY AND DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. You should not rely on this information as a substitute for, nor does it replace, professional medical advice, diagnosis, or treatment.

4.2 Precision Medicine Programs

Precision Medicine Programs involve licensed medical professionals providing functional medicine services. These services constitute a patient-practitioner relationship and are subject to applicable medical standards of care. However, participation in these programs does not guarantee specific health outcomes.

4.3 Always Consult Your Healthcare Provider

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read or learned through Women's Well. If you think you may have a medical emergency, call your doctor or 911 immediately.

5.1 Account Creation

To access certain Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Women's Well of any unauthorized use of your account or any other breach of security.

6.1 Fees and Payment

You agree to pay all fees associated with your purchase or subscription to our Services. All fees are stated in U.S. Dollars and are non-refundable except as expressly set forth in these Terms.

6.2 Subscription Services

For subscription-based services such as The Sisterhood Circle ($99/month), you authorize Women's Well to charge your payment method on a recurring basis until you cancel your subscription. You may cancel at any time by contacting us, but no refunds will be provided for partial subscription periods.

6.3 Retreat Accommodations

Retreat programs include the retreat experience but do NOT include accommodation costs unless explicitly stated. Accommodation costs at Sunrise Ranch or other venues are separate and payable directly to the venue or as arranged by Women's Well. You are responsible for selecting and paying for your accommodations.

6.4 Lab Testing and Medical Expenses

Precision Medicine Program fees do NOT include lab testing, which may cost $1,000 or more depending on your insurance coverage and health status. You are responsible for all lab fees, prescription costs, supplements, and any other medical expenses not explicitly included in your program fee.

6.5 Price Changes

Women's Well reserves the right to change pricing at any time. Price changes will not affect existing paid subscriptions or programs until renewal.

7.1 General Policy

All sales are final unless otherwise specified. Due to the personalized nature of our services and limited program capacity, refunds are generally not available.

7.2 Retreat Cancellations

> Cancellations for retreat programs must be made in writing and are subject to the following:

> More than 60 days before retreat: 50% refund of retreat fee (accommodation fees subject to venue policy)

> 30-60 days before retreat: 25% refund of retreat fee

> Less than 30 days before retreat: No refund

> Subscription Cancellations

You may cancel monthly subscriptions at any time. Cancellations take effect at the end of the current billing period. No partial refunds are provided.

> Medical Program Cancellations

If you wish to discontinue a Precision Medicine Program, you must provide 14 days written notice. Refunds will be prorated based on services not yet rendered, minus any lab fees already incurred and a $500 administrative fee.

You agree not to:

10. Harass, abuse, threaten, or intimidate other users or Women's Well staff

11. Post or transmit any content that is defamatory, obscene, pornographic, abusive, or offensive

12. Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity

13. Interfere with or disrupt the Services or servers or networks connected to the Services

14. Attempt to gain unauthorized access to any portion of the Services or any other systems or networks

15. Use any robot, spider, scraper, or other automated means to access the Services

16. Share copyrighted or proprietary content from Women's Well without authorization

9.1 Ownership

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, videos, software, and course materials, are owned by Women's Well or its licensors and are protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

Subject to these Terms, Women's Well grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Services without prior written consent.

9.3 User Content

By posting, uploading, or submitting any content to our Services (such as in community forums), you grant Women's Well a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating and promoting the Services.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. For Precision Medicine Programs, we comply with HIPAA regulations regarding the protection of your health information.

Our Services may contain links to third-party websites, applications, or services (such as Facebook groups, payment processors, or lab testing facilities) that are not owned or controlled by Women's Well. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Women's Well shall not be responsible or liable for any damage or loss caused by your use of any such third-party services.

12.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WOMEN'S WELL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12.2 No Guarantee of Results

Women's Well makes no guarantees regarding health outcomes, symptom relief, or other results from participation in any program or service. Individual results may vary. Your participation in our programs is at your own risk.

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOMEN'S WELL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF THE SERVICES; OR (D) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES.

IN NO EVENT SHALL WOMEN'S WELL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO WOMEN'S WELL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Women's Well and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any harm caused by your actions to any other user or third party.

14.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. We may also terminate inactive accounts.

14.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

15.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us. We will attempt to resolve the dispute informally by contacting you via email.

15.2 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiations, the dispute (except those disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes.

15.3 Class Action Waiver

YOU AND WOMEN'S WELL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15.4 Exceptions

Notwithstanding the foregoing, either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services or intellectual property infringement without first engaging in the informal dispute resolution process described above.

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Oregon, and you consent to personal jurisdiction and venue therein.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Women's Well regarding the Services and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

18.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Women's Well's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice to you.

18.5 Force Majeure

Women's Well shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
